CANADIAN ARTISTS AND PRODUCERS PROFESSIONAL RELATIONS TRIBUNAL

PUBLIC NOTICE 1999-1

Application for Certification: Association des professionnel-le-s de la vidéo du Québec (APVQ)

In accordance with subsection 25(3) of the Status of the Artist Act, the Canadian Artists and Producers Professional Relations Tribunal hereby gives notice that it has received an application for certification from the Association des professionnel-le-s de la vidéo du Québec (Tribunal File No. 1310-96-0026-A). The APVQ is seeking certification to represent a sector composed of all professional independent contractors in Quebec, engaged by a producer subject to the Status of the Artist Act, in all audiovisual productions, in all forms and in all mediums other than film, including television, video and the recording of commercials, in all languages, who practise professions that contribute directly to the creative aspects of the production and who perform the following functions:

(1) camera work, lighting and sound design, in particular the following positions: assistant director, director of photography, camera operator, cameraman (including steady-cam, baby-boom, and camera operated through a specialized system [C.O.S.S.]), assistant cameraman, still photographer, lighting director, chief lighting technician, lighting technician, chief electrician, electrician, lighting console operator, motorized projector operator, sound man, boom man, sound assistant, sound technician, sound effects technician, key grip, grip, rigger, computer graphics designer, computer graphics special effects technician;

Any artists' association that wishes to make a competing application for certification in respect of the same sector or any part of the same sector must file its application for certification no later than January 21, 2000. Any individual or organization that wishes to make representations to the Tribunal regarding the application must notify the Tribunal in writing of their interest no later than January 21, 2000.

CANADIAN INTERNATIONAL TRADE TRIBUNAL

DETERMINATION

Notice is hereby given that, after completing its inquiry, the Canadian International Trade Tribunal (the Tribunal) made a determination (File No. PR-99-020) on November 5, 1999, with respect to a complaint filed by IBM Canada Ltd. (the complainant), of Ottawa, Ontario, under subsection 30.11(1) of the Canadian International Trade Tribunal Act, R.S.C. 1985, c. 47 (4th Supp.), as amended by the North American Free Trade Agreement Implementation Act, S.C., 1993, c. 44, concerning Solicitation No. EN869-9-4022/A of the Department of Public Works and Government Services (the Department). The solicitation was for the lease of mainframes.

The complainant alleged that the Department had improperly declared its proposal non-compliant.

Having examined the evidence presented by the parties and considered the provisions of the Agreement on Internal Trade, the Tribunal determined that the complaint was valid.

The Commission will hold a public hearing commencing on January 31, 2000, at 9 a.m. (Issue No. 1), the Triumph Howard Johnson Plaza-Hotel, 2737 Keele Street, Toronto, Ontario, to consider the following:

Ontario Region

1. Ajax and Toronto, Ontario
Durham Radio Inc.

(a) to amend the broadcasting licence for CJKX-FM Ajax by adding a transmitter at Toronto operating on frequency 93.5 MHz (channel 228A) with an effective radiated power of 205 watts;

or

b) to amend the broadcasting licence for CJKX-FM Ajax by adding a transmitter at Toronto operating on frequency 106.3 MHz (channel 292A1) with an effective radiated power of 63 watts.

The Commission notes that the 106.3 MHz frequency is requested by the applicant in the event that the 93.5 MHz is granted to another applicant.

The Commission notes that this application is technically mutually exclusive with other applications scheduled at this hearing for the use of the 93.5 MHz and 106.3 MHz frequencies.

2. Christian Island, Ontario
Beausoleil First Nation Band Council No. 30 & 30A, on behalf of a corporation to be incorporated

For a broadcasting licence to carry on an English- and Native-language (type B) community FM radio programming undertaking at Christian Island. The new station would operate on frequency 94.7 MHz (channel 234A) with an effective radiated power of 900 watts.

3. Orangeville, Ontario
Dufferin Communications Inc.

To amend the broadcasting licence of the radio programming undertaking CIDC-FM Orangeville by relocating the transmitter site presently located 6 km west of the town hall to a site located 11 km east of the same town hall, and by decreasing the effective radiated power from 50 000 to 30 700 watts.

4. Smiths Falls, Ontario
Rogers Broadcasting Limited, on behalf of CHEZ-FM Inc.

For a broadcasting licence to carry on an English-language FM radio programming undertaking at Smiths Falls. The new station would operate on frequency 92.3 MHz (channel 222B) with an effective radiated power of 9 300 watts, upon surrender of the current licence issued for CJET Smiths Falls.

The applicant is proposing the continuation of its "traditional country music" service as well as the continuation of its programming service to the Ottawa Valley and to the Smiths Falls region. The applicant states that it does not propose to relocate the studio outside of Smiths Falls.

The applicant has requested an exemption from the Commission's policy which requires that the level of hits broadcast by English-language commercial FM stations be less than 50 percent of all musical selection broadcast each week. Instead, the applicant is proposing a weekly hits level of 85 percent.

5. Sudbury, Ontario
Eternacom Inc.

For a broadcasting licence to carry on an English-language FM radio programming undertaking at Sudbury. The new station would operate on frequency 102.9 MHz (channel 275LP) with an effective radiated power of 50 watts.

The applicant proposes to operate a tourist information service consisting of recorded announcements pertaining to tourist attractions, community events and special activities. Live on-location broadcasts promoting special events may be done occasionally. The applicant also proposes to broadcast a maximum of six minutes per hour of commercial messages.

Eternacom Inc. currently operates radio station CJTK-FM in the Sudbury market.

6. Timmins, Ontario
Roger De Brabant, on behalf of a company to be incorporated

For a broadcasting licence to carry on an English-language low power FM radio programming undertaking at Timmins. The new station would operate on frequency 101.5 MHz (channel 268LP) with an effective radiated power of two watts.

The applicant proposes to operate a tourist information service consisting of recorded announcements regarding tourist attractions and local events, forestry and outdoor activities.

7. Toronto, Ontario
Arnold A. Auguste, on behalf of a company to be incorporated

For a broadcasting licence to carry on an English-language FM radio programming undertaking at Toronto. The new station would operate on frequency 93.5 MHz (channel 228A) with an effective radiated power of 240 watts, and with a transmitter at Toronto/Hornby that would operate on frequency 740 kHz with a transmitter power of 50 000 watts.

The applicant is proposing a rhythm and blues/Black urban dance music format.

8. Toronto, Ontario
CIRC Radio Inc.

To amend its broadcasting licence for CIRV-FM by increasing its effective radiated power from 1 000 to 1 880 watts.

The applicant indicates that approval of this application would provide a higher quality signal in downtown Toronto and extend CIRV-FM's signal to outlying areas.

9. Toronto, Ontario
CKMW Radio Ltd.

For a broadcasting licence to carry on an English-language FM radio programming undertaking at Toronto. The new station would operate on frequency 93.5 MHz (channel 228A) with an effective radiated power of 253 watts.

The applicant is proposing a station to be called Rainbow Radio. It is designed to serve the needs of the gay community in the area.

The Commission notes that this application is technically mutually exclusive with other applications scheduled at this hearing for the use of the 93.5 MHz frequency.

The applicant also holds licences for CIAO Brampton and CIDC-FM Orangeville, Ontario.

10. Toronto, Ontario
Fairchild Radio (Toronto) Ltd.

For a broadcasting licence to carry on a specialty FM (ethnic radio) programming undertaking at Toronto. The new station would operate on frequency 93.5 MHz (channel 228B) with an effective radiated power of 1 430 watts, upon surrender of the current licence issued to CHKT Toronto.

The new FM station would replace AM station CHKT. The applicant proposes to continue to offer an ethnic radio service.

By condition of licence, the applicant will direct programming to a minimum of 14 cultural groups in a minimum of 15 different languages per broadcast week.

The applicant is also requesting permission to broadcast simultaneously on the AM and FM bands for a period of three months before surrendering the current licence issued to CHKT.

The Commission notes that this application is technically mutually exclusive with other applications scheduled at this hearing for the use of the 93.5 MHz frequency.

The Commission also notes that this application is mutually exclusive with an application (199911748) filed by the same applicant to amend the broadcasting licence of the radio programming undertaking CHKT Toronto. The applicant proposes to change the frequency from 1 430 kHz to 740 kHz and to relocate the transmitter to a new site at Hornby, Ontario, as an alternative to the proposed new FM station at Toronto.

11. Toronto, Ontario
Gary Farmer, on behalf of an incorporated body to be known as Aboriginal Voices Radio

For a broadcasting licence to carry on an English- and Aboriginal-language native (Type B) FM radio programming undertaking at Toronto. The new station would operate on frequency 106.5 MHz (channel 293A) with an effective radiated power of 305 watts, and with a transmitter at Toronto/ Hornby that would operate on frequency 740 kHz with a transmitter power of 50 000 watts.

The Commission notes that this application is technically mutually exclusive with the other applications scheduled at this hearing proposing use of the 106.3 MHz and 740 kHz frequencies.

B. Denham Jolly, on behalf of a company to be incorporated

For a broadcasting licence to carry on an English-language FM radio programming undertaking at Toronto. The new station would operate on frequency 93.5 MHz (channel 228A) with an effective radiated power of 298 watts.

Furthermore, rebroadcasting stations CBF-FM-11 Asbestos, CBF-FM-6 Lac-Mégantic and CBF-FM-12 Victoriaville will form part of the new licence to be issued for Sherbrooke.

(b) for a broadcasting licence to carry on a French-language FM radio programming undertaking at Trois-Rivières. The new station would operate on frequency 88.1 MHz (channel 201B) with an effective radiated power of 4 326 watts.

The Canadian Broadcasting Corporation proposes to convert rebroadcasting transmitter CBF-FM-8 Trois-Rivières (rebroadcaster of CBF-FM Montréal) to a programming undertaking and commits to five hours weekly of regional programming. CBF-FM Montréal's programming will be maintained for the remaining programming periods.

(c) to amend the licence of the French-language radio broadcasting programming undertaking CBF-FM Montréal to delete distribution undertakings CBF-FM-10 Sherbrooke, CBF-FM-8 Trois-Rivières, CBF-FM-11 Asbestos, CBF-FM-6 Lac-Mégantic and CBF-FM-12 Victoriaville from CBF-FM Montréal's licence.

Canadian Satellite Communications Inc. (Cancom) on behalf of SC SRDU Services Inc. (Newco)

For the authority to effect an intracorporate reorganisation relating to the satellite relay distribution undertaking (SRDU) carried on by Cancom's indirect wholly-owned subsidiary, Star Choice Television Network Incorporated (Star Choice). As a result of the reorganisation, Newco, a wholly-owned subsidiary of Cancom, would acquire the SRDU assets currently operated by Star Choice. The application seeks the Commission's authority to issue an SRDU licence to Newco on the same terms and conditions as the SRDU licence currently held by Star Choice.

28. Across Canada

Background

The Commission received applications by WIC Western International Communications Ltd. (WIC) to seek Commission approval for a multi-step intracorporate reorganization relating to several of WIC's wholly-owned subsidiaries. The intracorporate reorganization is a preliminary step contemplated in the definitive agreement between CanWest Global Communications Corp. (CanWest), Shaw Communications Inc. (Shaw), Corus Entertainment Inc. (Corus) and WIC (the definite agreement) dealing with the transfer of WIC assets. This step is a pre-requisite for the closing of the definitive agreement scheduled for February 29, 2000.

PHASE I

Phase I of this intracorporate reorganization involves the restructuring of the Television division of WIC by first amalgamating Newco Niagara Television Limited with its wholly-owned parent company, WIC Television Ltd. The amalgamated entity will also be named WIC Television Ltd. (WIC TV).

Subsequent to this amalgamation, WIC TV will transfer all of its television broadcasting assets into several newly created wholly-owned subsidiaries of WIC TV. The Commission notes that all of the new licences referred to in paragraphs A) to G) below would be issued upon surrender of the licences currently held by WIC TV on the same terms and conditions, except for a new condition required to implement the Commission's new television policy as set out in Public Notice CRTC 1999-97. More specifically:

A) Applications by 3669769 Canada Inc., a new wholly-owned subsidiary of WIC TV, for the authority to acquire all of the assets of BCTV (CHAN) Vancouver, (CIFG) Prince George, (CHKL) Kelowna and (CHKM) Kamloops (including any rebroadcasting assets) and to obtain new licences.

B) Application by 3669777 Canada Inc., a new wholly-owned subsidiary of WIC TV, for the authority to acquire all of the assets of CHEK Victoria Vancouver (including any rebroadcasting assets) and to obtain a new licence.

C) Application by 3669785 Canada Inc., a new wholly-owned subsidiary of WIC TV, for the authority to acquire all of the assets of CHBC Kelowna (including any rebroadcasting assets) and to obtain a new licence.

D) Application by 3669793 Canada Inc., a new wholly-owned subsidiary of WIC TV, for the authority to acquire all of the assets of CICT Calgary (including any rebroadcasting assets) and to obtain a new licence.

E) Application by 3669807 Canada Inc., a new wholly-owned subsidiary of WIC TV, for the authority to acquire all of the assets of CISA Lethbridge (including any rebroadcasting assets) and to obtain a new licence.

F) Applications by 3669815 Canada Inc., a new wholly-owned subsidiary of WIC TV, for the authority to acquire all of the assets of CITV Edmonton and CITV-TV-1 Red Deer (including any rebroadcasting assets) and to obtain new licences.

G) Application by 3669823 Canada Inc., a new wholly-owned subsidiary of WIC TV, for the authority to acquire all of the assets of CKRD-TV Red Deer (including any rebroadcasting assets) and to obtain a new licence.

PHASE II

Phase II of the intracorporate reorganization involves the restructuring of the pay-per-view and specialty programming services of WIC TV. Similar to Phase I, WIC Premium Television Ltd. (WIC Premium) is requesting authority to transfer all of the pay-per-view and specialty programming assets to several newly created wholly-owned subsidiaries. The Commission notes that the new licences referred to in paragraphs H) to K) would be issued upon surrender of the licences currently held by WIC Premium on the same terms and conditions. More specifically:

H) Application by 3669734 Canada Inc., a new wholly-owned subsidiary of WIC TV, for the authority to acquire all of the assets of Superchannel and to obtain a new licence.

I) Application by 3669742 Canada Inc., a new wholly-owned subsidiary of WIC TV, for the authority to acquire all of the assets of Home Theatre (operating under the name of Viewer's Choice), and to obtain a new licence.

J) Application by 3669751 Canada Inc., a new wholly-owned subsidiary of WIC TV, for the authority to acquire all of the assets of Movie Max and to obtain a new licence.

K) Application by 3637263 Canada Inc., a new wholly-owned subsidiary of WIC TV, to for the authority to acquire all of the assets of the pay-per-view direct to home undertaking (PDTH) and to obtain a new licence.

PHASE III

Phase III of the intracorporate reorganization involves the amalgamation of WIC Premium and WIC Radio Ltd. (WIC Radio) with the amalgamating company to be known as Purchaser Amalco Co. (OBCI) [Purchaser Amalco]. WIC is requesting the authority to then transfer 80 percent of the voting rights in Electronic Digital Delivery Inc. (EDD) to Purchaser Amalco, and for the authority to acquire all of the VOD assets from WIC Premium. More specifically:

L) Application by WIC for the authority to transfer the assets of the national, English- and French-language video-on-demand programming business owned by WIC Premium Television Ltd. and to obtain a new licence on the same terms and conditions, upon surrender of the existing licence.

M) Application by WIC, on behalf of EDD, for the authority to transfer WIC's controlling interest (80 percent of the voting rights) in EDD to Purchaser Amalco (OBCI).

The Commission notes that in the final phase of the reorganization, WIC TV will be wound up into WIC which will result in the transfer of effective control of all WIC TV subsidiaries to WIC. The winding up will also cause the transfer of WIC TV's interest in Canadian Satellite Communications Inc. as well as in the Report on Business Television Partnership (ROBTv) to WIC. More specifically:

N) Application by WIC, on behalf of all of WIC TV's licensed subsidiary companies, for the authority to effect a transfer of their effective control to WIC.

O) Application by WIC on behalf of WIC TV for the authority to acquire its partnership interest in ROBTv.

Following the transactions described above, WIC will amalgamate with CanWest Newco (CanWest Purchaser), a subsidiary of CanWest Shareholdings Inc., to be continued as WIC Amalco, resulting in WIC Amalco having all of WIC's conventional television broadcasting stations, WIC's interest in ROBTv and certain other assets.

The Commission notes that, should the parties decide to close the transaction on February 29, 2000, prior to Commission approval of the definitive agreement, trust arrangements will be necessary. It is also understood that, should the Commission decide not to approve any trust arrangements, the above proposed intracorporate reorganization will only take place if and when a decision has been rendered by the Commission on the definitive agreement.

In the event that trust arrangements are approved, the intracorporate reorganization must be reflected in the trust arrangements.

The Commission points out that the proposed intracorporate reorganization will not prejudice its ability to decide on applications that will be filed for approval of the definitive agreement. The intracorporate reorganization will not limit the ability of other potential purchasers to acquire any of WIC's assets, should the Commission not approve the definitive agreement in whole or in part.

Furthermore, this notice is not to be interpreted in any manner as an indication that the Commission is predisposed to authorize the forthcoming applications that will be filed with respect to any part of the definitive agreement.
