REDUCTION IN STATED CAPITAL OF COMMON SHARES
Notice is hereby given, pursuant to the provisions of section 79 of the Insurance Companies Act, S.C. c. 47, that CIBC Life Insurance Company Limited ("CIBC Life") intends to make an application to the Superintendent of Financial Institutions for an order approving a special resolution of the sole shareholder of CIBC Life dated as of September 27, 2000, reducing the stated capital of the common shares of CIBC Life by not more than $100,000,000.

Whereas the authorized capital of CIBC Life Insurance Company Limited (the "Company") includes an unlimited number of common shares, of which 1 513 000 shares are issued and outstanding;
And Whereas the amount of the stated capital account maintained by the Company for its common shares is $120,443,000;
And Whereas it is desired to reduce the stated capital of the Company as hereinafter provided for the purpose of making a distribution to the holder of the common shares;
And Whereas such reduction in the stated capital account will not result in the Company's being in violation of capital or liquidity requirements under the Capital Adequacy Requirements Guidelines.
Now Therefore Be It Resolved That:
1. the stated capital of the Company be and the same is hereby reduced by not more than one hundred million dollars ($100,000,000) by deducting the amount from the stated capital account maintained by the Company for its common shares;
2. an amount equal to the reduction of stated capital referred to in paragraph 1 hereof be distributed in cash on or before October 31, 2000 to the shareholder of record as of the date hereof;
3. the proper officers of the Company are hereby authorized and directed to execute all documents and to do all such other acts or things as they may determine to be necessary or advisable to give effect to this resolution; and
4. such reduction of the stated capital account shall be subject to obtaining the approval of the Superintendent of Financial Institutions and shall be completed after the date that such approval is received.
The foregoing resolution is hereby consented to by the sole shareholder of the Company pursuant to the provisions of the Insurance Companies Act, as evidenced by such shareholder's signature hereto.
