Notice is hereby given, pursuant to the provisions of section 651 of the Insurance Companies Act, S.C., 1991, c. 47, that Associates Insurance Company ("Associates"), having ceased to carry on business in Canada, intends to make an application to the Superintendent of Financial Institutions for the release of its assets in Canada on or about November 21, 2000.

Policyholders of Associates Insurance Company opposing the release may file their opposition with the Superintendent of Financial Institutions, Registration and Approvals Division, 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before November 20, 2000.

AMENDMENTS TO THE BANK OF CANADA PENSION PLAN (BY-LAW NO. 15)

Requard, Corporate Secretary of the Bank of Canada, hereby certify that, pursuant to subsection 15(2) of the Bank of Canada Act, the following amendments to By-law 15 of the Bank of Canada have been duly approved by the Board of Directors of the Bank on September 15, 2000, and that they have not been amended or rescinded since those dates.

Whereas pursuant to section 15 of the Bank of Canada Act, the Board of Directors of the Bank has passed a by-law, By-Law 15, to establish a pension fund for the benefit of its eligible employees and their dependants;

And whereas the Bank has the authority to amend its by-laws;

It is hereby resolved that the Bank of Canada Pension Plan, By-Law 15 (the Plan) is hereby amended, with effect from the date of publication in the Canada Gazette, by:

1. Adding the following as subsection 3.5:

"3.5 Reduction of Contributions

The Board may from time to time and for a period of time reduce the contribution that an active member would otherwise be required to make to the Plan in respect of Bank service by an amount which is less than or equal to the maximum member current service contribution calculated pursuant to subparagraph 3.2.3(a). All contributions made by such member in excess of the reduced contribution shall be refunded to the member or, if the member is deceased, to the member's designated beneficiary or estate.";

2. deleting subparagraph 4.1(a)(i) and replacing it with the following:

"4.1(a)(i) all contributions made to the Plan by the member or that would have been made but for a reduction by the Board under subsection 3.5,".
