INDEMNITY REINSURANCE AGREEMENT
Notice is hereby given, pursuant to section 254 of the Insurance Companies Act, that The Canada Life Assurance Company (Canada Life) and The Canada Life Insurance Company of Canada (CLICC) intend to make application to the Minister of Finance on or after December 10, 2002, in accordance with the provisions of the Insurance Companies Act for the Minister's approval to enter into an indemnity reinsurance agreement in respect of a proposed transaction whereby CLICC will indemnity reinsure all of the Canadian participating life insurance policies of Canada Life.

AGREEMENT
Notice is hereby given that in accordance with the provisions of section 254 of the Insurance Companies Act, application will be made on or after November 25, 2002, to the Minister of Finance for approval to enter into an agreement, to be effective January 1, 2002, between Unity Life of Canada and Liberty Life Assurance Company of Boston, under which Unity Life of Canada will assume and reinsure substantially all of the Canadian individual insurance business of Liberty Life Assurance Company of Boston.
