UNITY LIFE OF CANADA

AGREEMENT

Notice is hereby given that in accordance with the provisions of section 254 of the Insurance Companies Act, application will be made on or after April 7, 2004, to the Minister of Finance for approval to enter into an agreement, to be effective January 1, 2004, between Unity Life of Canada and Superior Life Insurance Company, under which Unity Life of Canada will assume and reinsure all of the Canadian insurance business of Superior Life Insurance Company.

The agreement and the independent actuary's report will be open to the inspection of policyholders of Unity Life of Canada and Superior Life Insurance Company for the period of 30 days commencing from February 21, 2004, at the home office of Unity Life, 112 St. Clair Avenue W, Toronto, Ontario M4V 2Y3, and at the head office of Superior Life Insurance Company, 6205-B Airport Road, Mississauga, Ontario L4V 1E1.

Any policyholder is entitled to a copy of the agreement and the independent actuary's report on submitting a request in writing to their respective home office.
