THE STANDARD LIFE ASSURANCE COMPANY OF CANADA

REDUCTION OF STATED CAPITAL

Notice is hereby given, in accordance with section 79 of the Insurance Companies Act (Canada) that The Standard Life Assurance Company of Canada (the "Company") intends to apply to the Superintendent of Financial Institutions (Canada) [the "Superintendent"], for approval to reduce the stated capital of the Company in accordance with the following special resolution which was adopted by the Company's sole shareholder, Standard Life Financial Inc., on February 15, 2006:

"BE IT RESOLVED AS A SPECIAL RESOLUTION THAT:

1. subject to the receipt by the Company of the written approval of the Superintendent of Financial Institutions (Canada) and the receipt of funds in the amount of $145 million from Standard Life Financial Inc. ("SLFI"), the sole shareholder of the Company, in connection with the subordinated debenture to be issued to SLFI, the stated capital of the common shares of the Company be reduced by $145 million, such reduction of stated capital to have effect on March 20, 2006 or such later date as such conditions have been satisfied (the "Effective Date");

2. the amount of such reduction, being $145 million, be distributed to SLFI, being the holder of all of the issued and outstanding common shares of the Company, on or after the Effective Date;

3. the stated capital account for the common shares of the Company be adjusted to reflect such reduction on the Effective Date; and

4. any director or officer of the Company is authorized and directed to do all things and execute all instruments and documents necessary or desirable to carry out the foregoing."
