CIGNA LIFE INSURANCE COMPANY OF CANADA

ASSUMPTION REINSURANCE AGREEMENT

Notice is hereby given that, in accordance with the provisions of section 254 of the Insurance Companies Act (Canada), ACE INA Life Insurance ("ACE INA Life") and CIGNA Life Insurance Company of Canada ("CIGNA Life") intend to make application to the Minister of Finance (Canada), following a period of 30 days from the date of publication of this notice, for approval of the assumption reinsurance by ACE INA Life of all of the risks insured under the single premium creditors group life, accident and sickness and loss of employment insurance policies of CIGNA Life (the "policies") and all present and future obligations under such policies, such transfer to be effective at 12:01 a.m. Eastern Time on January 1, 2007.

The proposed assumption reinsurance agreement will be available for inspection by holders of the policies and certificate holders and claimants under the policies at the head office of ACE INA Life, 130 King Street W, 12th Floor, Toronto, Ontario, and at the head office of CIGNA Life, 55 Town Centre Court, 6th Floor, Toronto, Ontario, during regular business hours, for a 30-day period after the date of publication of this notice.

AMENDMENTS TO THE BANK OF CANADA PENSION PLAN (BY-LAW NO. 15)

Whereas pursuant to section 15 of the Bank of Canada Act, the Board of Directors of the Bank has passed a by-law, By-law 15, to establish a pension fund for the benefit of its eligible employees and their dependants;

And whereas the Bank has the authority to amend its by-laws;

It is hereby resolved that the Bank of Canada Pension Plan, By-law 15, is hereby amended, with effect from the date of publication in the Canada Gazette, by

1. adding the following after paragraph 11.2.3 of the Table of Contents:

"11.3 Assignment and Unlocking for Non-Residents"

2. deleting subsection 13.4 of the Table of Contents and replacing it with the following:

"13.4 Pension Council"

3. deleting subparagraph 9.3(c) and adding the following definition of "Defined Benefit Limit" in subsection 1.1:

"'defined benefit limit' means the amount which is the defined benefit limit determined at the relevant time under the Income Tax Act;"

4. deleting subparagraph 3.2.3(a)(i) and replacing it with the following:

"(i) an amount equal to fifty times the amount of the defined benefit limit for the year,"

5. inserting between the word "Section" and the words "a person's rights" in the first line of subsection 11.1, the words "or subsection 11.3,"

6. adding the following new subsection after paragraph 11.2.3:

"11.3 ASSIGNMENT AND UNLOCKING FOR NON-RESIDENTS

(a) Notwithstanding subsection 11.1, when a member or retired member has ceased to be a resident of Canada for at least two calendar years and has ceased employment with the Bank, the pension benefits or pension benefit credits of such member or retired member are exempted from the prohibitions set out in subsection 11.1. In addition, such member or retired member may elect, in lieu of the benefits that are otherwise payable or that are otherwise transferable pursuant to subsection 6.2, to withdraw such member's or retired member's pension benefits or pension benefit credits from the Plan.

(b) For the purposes of subparagraph (a), a member or retired member is deemed to have been a resident of Canada throughout a calendar year if that member or retired member has sojourned in Canada in the year for a period of, or periods the total of which is, 183 days or more."

7. deleting subsection 13.4 and replacing it with the following:

"13.4 PENSION COUNCIL

The PBSA provides for the possibility of forming a pension council with representation from members and, if a majority of retired members so request, representation from retired members. The circumstances of the formation and the functions of a pension council, as well as the manner of selection of representation, are as prescribed under the PBSA."

8. adding the following paragraph to the end of subsection 16.4:

"The amendments to the provisions of subsections 11.1 and 11.3 apply to the affected members who have not transferred their pension benefits or pension benefit credits out of the Plan."

AMENDMENTS TO THE SUPPLEMENTARY PENSION ARRANGEMENT (BY-LAW 18)

Whereas pursuant to section 15 of the Bank of Canada Act, the Board of Directors of the Bank has passed a by-law, By-law 18, to establish a supplementary pension arrangement for the benefit of its eligible employees and their dependants;

And whereas the Bank has the authority to amend its by-laws;

It is hereby resolved that the Bank of Canada Supplementary Pension Arrangement, By-law 18, is hereby amended, with effect from the date of publication in the Canada Gazette, by

1. deleting paragraph 6.2.1 and replacing it with the following:

"6.2.1 Payment of Supplementary Pension Benefit Credit

Any participant entitled to a deferred supplementary pension benefit pursuant to subsection 6.1 may, in conjunction with a transfer of the pension benefit credit from the Pension Plan pursuant to paragraph 6.2.1, 6.2.2 or 6.2.4 of the Pension Plan or with a withdrawal of the pension benefit credit from the Pension Plan pursuant to subsection 11.3, elect, in lieu of the benefits otherwise payable, to receive the supplementary pension benefit credit from the Arrangement in a lump sum."

2. deleting paragraph 6.2.3 and replacing it with the following:

"6.2.3 Residual Payment

A participant for whom no supplementary pension benefit is payable pursuant to the calculation of a deferred supplementary pension benefit under paragraph 6.1.2 and who

(a) transfers the pension benefit credit under paragraph 6.2.1, 6.2.2 or 6.2.4 of the Pension Plan,

(b) makes an election under paragraph 6.3.1 of the Pension Plan,

(c) receives the pension benefit credit in a lump sum under subsection 10.2 of the Pension Plan, or

(d) makes an election under subsection 11.3 of the Pension Plan

shall receive in a lump sum an amount equal to the aggregate of

(e) the participant's net supplementary contribution account under this Arrangement,

(f) less the amount of any negative balance in the participant's net contribution account under the Pension Plan after the transfer or payment of the participant's benefits thereunder,

(g) plus accrued interest on the resulting amount up to the beginning of the month in which payment is made."

3. deleting subparagraph 9.2(a) and replacing it with the following:

"(a) The participant transfers or withdraws the pension benefit or the pension benefit credit under paragraph 6.2.1, 6.2.2, 6.2.4 or subsection 11.3 of the Pension Plan, or"

4. deleting subparagraph 13.8(a) and replacing it with the following:

"(a) is the Governor or a Deputy Governor of the Bank at the time when the Board exercises its discretion to allow the crediting of such participant's pensionable service;"

5. deleting the definition of "EBP salary" from subsection 14.1 and replacing it with the following:

"'EBP salary' for a participant in a particular year means the base salary at grade maximum for the participant's grade in effect on a date in that year determined in accordance with the EBP plus the performance pay that would be payable if the participant's performance were rated on that date as " fully meets expectations"; and".
