VOLUNTARY LIQUIDATION AND DISSOLUTION AND TRANSFER OF ASSETS AND LIABILITIES

Notice is hereby given, in connection with the proposed voluntary liquidation and dissolution of BCPBank Canada ("BCPBank"), that (1) on May 24, 2007, the Minister of Finance approved the application of BCPBank, pursuant to section 344 of the Bank Act (Canada), for letters patent dissolving BCPBank; and (2) BCPBank intends to make application to the Minister of Finance on or about July 9, 2007, under subsection 236(1) of the Bank Act (Canada), for the approval of an agreement between BCPBank and its sole shareholder, Bank of Montreal, under which BCPBank will distribute to Bank of Montreal all of the assets of BCPBank and Bank of Montreal will agree to pay and discharge all obligations of BCPBank.
