ASSUMPTION REINSURANCE TRANSACTION

Notice is hereby given, pursuant to subsection 587.1(5) of the InsuranceCompanies Act (Canada), that Forethought Life Insurance Company (“Forethought”) and Unity Life of Canada (“Unity”) intend to enter into an assumption reinsurance agreement (the “Agreement”) whereby Unity will reinsure, on an assumption basis, all of the liabilities of Forethought under all insurance policies and certificates issued or assumed by Forethought through its Canadian Branch.

Notice is also hereby given that an application for approval under paragraph 587.1(2)(a) of the InsuranceCompaniesAct to proceed with this transaction will be made by Forethought to the Minister of Finance on or after December 2, 2008.

A copy of the proposed Agreement and of the report of the independent actuary is available for inspection at the Canadian chief agency of Forethought, located at Scotia Plaza, Suite 2100, 40 King Street W, Toronto, Ontario M5H 3C2, during regular business hours for a 30-day period after the date of publication of this notice.
