ASSUMPTION REINSURANCE TRANSACTION

Notice is hereby given, pursuant to section 587.1 of the Insurance Companies Act (Canada), that Great American Insurance Company of New York, Canadian branch (“GANY”) and Great American Insurance Company, Canadian branch (“GAIC”) intend to make an application to the Superintendent of Financial Institutions (Canada) [the “Superintendent”] on or after March 29, 2010, for the Superintendent’s approval to enter into an assumption reinsurance agreement between GANY and GAIC (the “Assumption Reinsurance Agreement”), under which GANY shall agree to cede to GAIC, and GAIC shall agree to reinsure, on an assumption basis, all of the insurance liabilities undertaken by GANY (the “risks”), including all present and future obligations under such risks.

A copy of the Assumption Reinsurance Agreement relating to this transaction will be available for inspection by the policyholders of GANY and GAIC during regular business hours at the offices of the Chief Agent of the Canadian branch of GANY and GAIC located at 2100 Scotia Plaza, 40 King Street W, Toronto, Ontario M5H 3C2, for a period of 30 days following publication of this notice.
