This Notice of Intention is given in relation to internal changes related to the Participation Agreement of the Company with sister companies of its group.

Notice is hereby given that, pursuant to subsection 79(5) of the Insurance Companies Act, The Nordic Insurance Company of Canada (the “Company”) intends to apply to the Superintendent of Financial Institutions for a reduction in its stated capital and contribution surplus as contemplated by a special resolution adopted by the sole shareholder of the Company dated March 5, 2010, and which reads as follows :

“BE IT RESOLVE THAT the Sole Shareholder hereby approves the following resolutions further to recommendations of the Board of The Nordic Insurance Company of Canada (the “Company”) as follows:

  •  the Company shall reduce its Share Capital by $207,263,000;
  •  the Company will also pay a dividend from its Contributed Surplus of $214,001,000;

and authorizes the Company to proceed with the implementation of such resolutions as soon as possible, on the basis that the Company shall, after the above transaction and in relation to its operations, maintain adequate capital and adequate and appropriate forms of liquidity and shall comply with regulations in relation to such requirements under the Insurance Companies Act of Canada.”
