ASSUMPTION REINSURANCE AGREEMENT
Notice is hereby given that the Canadian Branch of Eagle Star Insurance Company Limited intends to apply to the Superintendent of Financial Institutions on or after June 21, 2010, for approval to cause itself to be reinsured, on an assumption reinsurance basis, against all of the risks undertaken by it in respect of its policies in Canada, by Omega General Insurance Company pursuant to section 587.1 of the Insurance Companies Act (Canada).

ASSUMPTION REINSURANCE TRANSACTION
Notice is hereby given that PARIS RE, pursuant to section 587.1 of the Insurance Companies Act (Canada), intends to make an application to the Superintendent of Financial Institutions (Canada) [the “Superintendent”] on or after June 14, 2010, for the Superintendent’s approval to enter into an assumption reinsurance agreement (the “Assumption Reinsurance Agreement”) with Partner Reinsurance Europe Limited (“PREEL”), under which PARIS RE shall agree to cede to PREEL, and PREEL shall agree to reinsure, on an assumption basis, all of the insurance liabilities undertaken by PARIS RE (the “risks”), including all present and future obligations under such risks.
A copy of the Assumption Reinsurance Agreement relating to this transaction will be available for inspection by the policyholders of PARIS RE and PREEL during regular business hours at the office of the Chief Agent of the Canadian branch of PARIS RE located at 1800 McGill College Avenue, Montréal, Quebec H3A 3J6, and the office of the Chief Agent of the Canadian branch of PREEL located at 130 King Street W, Suite 2300, Toronto, Ontario M5X 1C7, for a period of 30 days following publication of this notice.
Any policyholder who wishes to obtain a copy of the Assumption Reinsurance Agreement, may do so in writing to either of the Chief Agents at the above-noted addresses.
