APPLICATION TO ESTABLISH A BANK

Notice is hereby given, pursuant to subsection 25(2) of the Bank Act (Canada), that Ford Credit Canada Limited intends to apply to the Minister of Finance for letters patent incorporating a bank to carry on the business of banking in Canada. The ultimate parent of Ford Credit Canada Limited is Ford Motor Company, headquartered in Dearborn, Michigan.

The bank will carry on business in Canada under the name of Ford Credit Bank in English and Banque Crédit Ford in French, and its head office will be located in Oakville, Ontario.

Any person who objects may submit an objection in writing to the Office of the Superintendent of Financial Institutions, 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before July 31, 2010.

ASSUMPTION REINSURANCE TRANSACTION

Notice is hereby given that, in accordance with the provisions of subsection 254(2.01) of the Insurance Companies Act (Canada), The Manufacturers Life Insurance Company (“Manufacturers Life”) intends to make an application on or about July 6, 2010, to the Superintendent of Financial Institutions (Canada) to approve the reinsurance on an assumption basis of all of the risks undertaken under the policies of the Philippines Branch of Manufacturers Life to its wholly owned subsidiary The Manufacturers Life Insurance Co. (Phils.), Inc., including all present and future obligations under such risks.

Copies of the assumption agreement relating to the transaction will be made available for inspection by policyholders of Manufacturers Life during regular business hours at the head office of Manufacturers Life at 200 Bloor Street E, Toronto, Ontario M4W 1E5, for a 30-day period after the date of first publication of this notice. Any policyholder who wishes to obtain a copy of the assumption agreement may do so by writing to the Corporate Secretary, at the above-noted address.
