GLOBAL PAYMENTS DIRECT, INC.

LETTERS PATENT OF INCORPORATION

Notice is hereby given pursuant to subsection 24(2) of the Trust and Loan CompaniesAct (Canada), that GLOBAL PAYMENTS DIRECT, INC., a corporation incorporated under the laws of the State of New York (the “Applicant”), intends to file with the Office of the Superintendent of Financial Institutions, on or after September 21, 2010, an application for the Minister of Finance to issue letters patent incorporating a loan company under the name GPC FINANCIAL CORPORATION / CORPORATION FINANCIÈRE GPC (the “Loan Company”) to offer services related to payment processing in Canada. Its head office will be located in Toronto, Ontario.

Notice is hereby further given that the Applicant and Global Payments Inc., a corporation incorporated under the laws of the State of Georgia, will each control the Loan Company, as determined under the Trust and Loan Companies Act (Canada).

Any person who objects to the proposed incorporation may submit an objection in writing to the Superintendent of Financial Institutions, 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before September 21, 2010.

RELEASE OF ASSETS

Pursuant to Canada’s Insurance Companies Act (the “Act”), notice is hereby given that Great American Insurance Company of New York intends to apply to the Superintendent of Financial Institutions (Canada), on or after September 13, 2010, for the release of the assets that it maintains in Canada in accordance with the Act.

Any policyholder or creditor in respect of Great American Insurance Company of New York’s insurance business in Canada opposing that release must file notice of such opposition with the Office of the Superintendent of Financial Institutions, Legislation and Approvals Division, 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before September 13, 2010.
