ASSUMPTION REINSURANCE AGREEMENT

Notice is hereby given that the Canadian branch of Converium Reinsurance (North America) Inc. (n.k.a. Finial Reinsurance Company) [“Converium”], pursuant to section 587.1 of the Insurance Companies Act (Canada), intends to make an application to the Superintendent of Financial Institutions (Canada) [the “Superintendent”] on or after April 30, 2013, for the Superintendent's approval to enter into an assumption reinsurance agreement (the “Assumption Reinsurance Agreement”) with the Canadian branch of National Liability & Fire Insurance Company (“National Liability”), under which Converium shall cede to National Liability, and National Liability shall reinsure, on an assumption basis, all of the insurance liabilities undertaken by Converium, including all present and future obligations under such risks.

A copy of the proposed Assumption Reinsurance Agreement relating to this transaction will be available for inspection by the policyholders of Converium during regular business hours at the office of the Chief Agent of the Canadian branch of Converium, c/o Donald G. Smith, Chief Agent, 133 Richmond Street W, Suite 401, Toronto, Ontario M5H 2L3, for a period of 30 days following publication of this notice. Any policyholder who wishes to obtain a copy of the Assumption Reinsurance Agreement may do so by writing to the Chief Agent at the above-noted address.

Notice is hereby given that the Canadian Branch of Fidelity National Title Insurance Company intends to apply to the Superintendent of Financial Institutions on or after April 30, 2013, for approval to cause itself to be reinsured, on an assumption reinsurance basis, against all of the risks undertaken by it in respect of its policies in Canada by Chicago Title Insurance Company, pursuant to section 587.1 of the Insurance Companies Act (Canada).

A copy of the proposed Assumption Reinsurance Agreement is available to policyholders at the Canadian head office of Fidelity National Title Insurance Company, located at 55 Superior Boulevard, Mississauga, Ontario L5T 2X9, during regular business hours for a 30-day period after the date of publication of this notice.

The publication of this notice should not be construed as evidence that approval will be issued for the Assumption Reinsurance Agreement. As required under subsection 75(5) of the Bank Act, notice is hereby given that ICICI Bank Canada (the Bank) intends to apply to the Superintendent of Financial Institutions for approval to reduce the stated capital of the common shares of the Bank in accordance with the special resolution passed by the sole shareholder of the Bank on March 13, 2013, a copy of which is set out below.

“RESOLVED AS A SPECIAL RESOLUTION that

  1. Subject to the approval of the Superintendent of Financial Institutions (Canada), and in accordance with section 75 of the Bank Act (Canada), the stated capital of the Bank be reduced by an amount of up to $75 million (the “Authorized Limit”) by reducing the stated capital account maintained for its common shares, such amount to be distributed to the sole shareholder of the Bank;
  2. The directors and officers of the Bank are hereby authorized and directed to apply under section 75 of the Bank Act (Canada) for approval of this resolution and such reduction of stated capital;
  3. The Bank's Chief Executive Officer shall determine the amount of any such reduction of stated capital within the Authorized Limit; and
  4. Any two officers or directors of the Bank are authorized and directed, for and on behalf of the Bank, to execute and deliver all such documents and to do such other acts or things as may be determined to be necessary or advisable to give effect to this resolution, the execution of any such document or the doing of any such other act or thing being conclusive evidence of such determination.”
