Adam Buchanan, Ron Hagen, Wayne Wallace, Jason Hackett, Eldon Arsenault and Shawn Cook hereby give notice that an application has been made to the Minister of Transport under the Navigation Protection Act for approval of the plans and site of the work described herein. Under paragraph 5(6)(b) of the said Act, Adam Buchanan, Ron Hagen, Wayne Wallace, Jason Hackett, Eldon Arsenault and Shawn Cook have deposited with the Minister of Transport and in the office of the District Registrar of the Land Registry District of Prince County, at Summerside, Prince Edward Island, under deposit Nos. 39767, 39768, 39810, 39811, 39781 and 39776, a description of the site and plans for the proposed water column aquaculture facilities in the Foxley River (Foxley Bay), at Roxbury.

Comments regarding the effect of this work on marine navigation may be directed to the Regional Manager, Navigation Protection Program, Transport Canada, 95 Foundry Street, P.O. Box 42, Moncton, New Brunswick E1C 8K6. However, comments will be considered only if they are in writing and are received not later than 30 days after the date of publication of the last notice. Although all comments conforming to the above will be considered, no individual response will be sent.

CERTAS HOME AND AUTO INSURANCE COMPANY

REDUCTION OF STATED CAPITAL

In accordance with subsection 79(5) of the Insurance Companies Act (Canada), notice is hereby given of the intention of Certas Home and Auto Insurance Company (the “Corporation”), having its head office in Lévis, Quebec, Canada, to apply to the Superintendent of Financial Institutions (Canada) for approval to reduce the stated capital of the Corporation pursuant to a special resolution adopted by the shareholders of the Corporation on May 9, 2017, which reads as follows:

“IT IS RESOLVED:

  1. Subject to the written approval of the Superintendent of Financial Institutions (Canada) (the “Superintendent”), to authorize Certas Home and Auto Insurance Company (the “Corporation”) to reduce the stated capital account of its common shares by $41,800,000 and that such amount be reimbursed to Desjardins General Insurance Group Inc. and Groupe des Assurances du Crédit Mutuel S.A., as the holders of the common shares of the Corporation;
  2. That the stated capital account for the common shares of the Corporation be adjusted to reflect such reduction;
  3. That the Corporation, through its authorized officers, be authorized and directed to do all things and execute all instruments and documents necessary or desirable to carry out the foregoing including, without limitation, the publication in the Canada Gazette of a notice of intention to apply for approval to reduce the stated capital of the Corporation along with this special resolution and the making of an application for the approval of the Superintendent within three months after the time of the passing of this special resolution; and
  4. That Desjardins General Insurance Group Inc. and Groupe des Assurances du Crédit Mutuel S.A. have no reasonable grounds for believing, and understand that the Corporation, after due enquiry, has no reasonable grounds for believing, that the Corporation is, or the reduction would cause the Corporation to be, in contravention of subsection 515(1), any regulation made under subsection 515(2) or any order made under subsection 515(3) of the Insurance Companies Act (Canada).

Note: The publication of this notice should not be construed as evidence that approval will be issued for the reduction of capital. The granting of the approval will be dependent upon the normal Insurance Companies Act (Canada) review process and the discretion of the Superintendent of Financial Institutions.
