Notice is hereby given that Hudson Insurance Company, an entity incorporated and organized under the laws of Delaware, United States of America, which principally carries on business in the continental United States, intends to file, under section 574 of the Insurance Companies Act (Canada), with the Superintendent of Financial Institutions, on or after May 25, 2019, an application for an order approving the insuring in Canada of risks, under the English name Hudson Insurance Company and the French name Compagnie d’Assurance Hudson. Hudson Insurance Company is a property and casualty insurance company and intends to insure property, casualty and surety risks in Canada. The head office of the company is located in Wilmington, Delaware, United States, and its Canadian chief agency will be located in Toronto, Ontario.

Notice is hereby given, in accordance with the provisions of subsection 254(2) of the Insurance Companies Act (Canada), that Scotia Life Insurance Company (“SLIC”) intends to make an application to the Minister of Finance (the “Minister”), on or after June 11, 2019, for the Minister’s approval to cause itself to be reinsured, on an assumption basis, against substantially all of the risks undertaken by SLIC in respect of its policies, by Chubb Life Insurance Company of Canada (“Chubb Life”). In particular, SLIC proposes to transfer to Chubb Life the policy liabilities in respect of the individual Term 10, Term 20 and Term 100 contracts of life insurance, and individual Guaranteed Life and individual Accidental Death insurance policies issued by SLIC.

A copy of the assumption reinsurance agreement and the report of the independent actuary will be available for inspection by the policyholders of SLIC during regular business hours at the head office of SLIC located at 44 King Street West, Toronto, Ontario M5H 1H1, for a period of 30 days following publication of this notice.

Any policyholder who wishes to obtain a copy of the assumption reinsurance agreement or the report of the independent actuary may do so by writing to SLIC at the above-noted address.

Pursuant to section 651 of the Insurance Companies Act (Canada) [the “Act”], notice is hereby given that T.H.E. Insurance Company, carrying on business as a branch in Canada under the same name, intends to apply to the Superintendent of Financial Institutions (Canada), on or after June 10, 2019, for an order authorizing the release of the assets that it maintains in Canada in accordance with the Act.

Any policyholder or creditor in respect of T.H.E. Insurance Company’s insurance business in Canada opposing such release is invited to file an opposition by mail to the Office of the Superintendent of Financial Institutions (Canada), Regulatory Affairs Division, 255 Albert Street, Ottawa, Ontario K1A 0H2, or by email at, on or before June 10, 2019.
